Terms of Service

1. Acceptance of Terms

By accessing or using the Proofwork Labs platform, MCP servers, APIs, or any related services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Services

Proofwork Labs provides certified AI skills delivered as MCP (Model Context Protocol) servers. The Services provide reference data, structured workflows, and decision-support tools designed to assist with trade compliance and related tasks. The Services do not provide legal, customs brokerage, or professional compliance advice.

3. No Professional Advice

The outputs of Proofwork skills, including HTS tariff classifications, duty estimates, trade risk assessments, and any other results, are provided for informational and decision-support purposes only. They do not constitute legal advice, customs rulings, or binding compliance determinations. You are solely responsible for verifying all outputs and making final compliance decisions. Proofwork Labs is not a licensed customs broker, attorney, or compliance advisor.

4. Accuracy and Limitations

While Proofwork Labs validates its skills against published benchmarks, no AI system is infallible. Benchmark scores reflect performance on specific test sets and may not predict results on all inputs. Tariff schedules, trade regulations, and enforcement policies change frequently. Proofwork Labs makes reasonable efforts to keep reference data current but does not guarantee that all data reflects the latest regulatory changes.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Proofwork Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.

Proofwork Labs' total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you paid for the Services in the twelve (12) months preceding the claim.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Proofwork Labs does not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected.

7. User Responsibilities

You agree to: (a) provide accurate account information; (b) maintain the security of your account credentials; (c) comply with all applicable laws and regulations in your use of the Services; (d) not use the Services for any unlawful purpose; and (e) not attempt to circumvent usage limits or access controls.

8. Subscriptions and Billing

Paid subscriptions are billed at the rate in effect at the time of purchase. Subscriptions renew automatically unless cancelled before the end of the billing period. Cancellation takes effect at the end of the current billing period. Refunds are provided at Proofwork Labs' sole discretion.

9. Intellectual Property

The Services, including all software, algorithms, benchmark methodologies, and reference data compilations, are the intellectual property of Proofwork Labs. Your subscription grants a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

10. Data and Privacy

Proofwork Labs collects account information, usage metrics, and service interaction data as described in our Privacy Policy. Product descriptions and other inputs submitted to the Services may be processed to deliver results but are not used to train models or shared with third parties.

11. Termination

Proofwork Labs may suspend or terminate your access to the Services at any time for violation of these terms or for any other reason at its sole discretion, with or without notice.

12. Governing Law

These terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Fulton County, Georgia.

13. Changes to Terms

Proofwork Labs reserves the right to modify these terms at any time. Material changes will be communicated via the email address associated with your account. Continued use of the Services after changes constitutes acceptance of the updated terms.
